1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the Bati CIS (Commerce Intelligence System) platform and related services (the "Service") provided by Bati AI Corp. ("BatiAI", "we", "us", "our"). By accessing or using the Service, or by signing an order form or agreement that references these Terms, you ("Customer", "you") agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
2. Description of the Service
The Service helps corporate sellers aggregate, reconcile, and analyze their own order, shipment, and settlement data across e-commerce marketplaces, and deliver the processed results to the seller's own systems (e.g., ERP). Specific scope, channels, and deliverables are defined in the applicable order form or service agreement.
The Service is provided on a business-to-business basis and is intended for use by professional sellers, not consumers.
3. Accounts & Eligibility
- You must provide accurate account information and keep it up to date.
- You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
- You must promptly notify us of any unauthorized use of your account.
- You must be a business entity (or its authorized representative) legally capable of entering into a binding contract.
4. Customer Data & Marketplace Authorization
"Customer Data" means the data you provide or that we collect on your behalf from third-party marketplaces under your authorization. As between the parties, you own and are the controller of Customer Data; we process it as your service provider solely to provide the Service.
- You grant us the authorizations (including OAuth grants, e.g., for the Amazon Selling Partner API) needed to collect and process Customer Data for the Service.
- You are responsible for ensuring you have the rights and lawful basis to share Customer Data with us.
- You may revoke marketplace authorization at any time; doing so will stop further data collection.
Our collection, use, storage, protection, sharing, and deletion of Customer Data — including Amazon SP-API specific terms — are described in our Privacy Policy, which is incorporated into these Terms by reference.
5. Acceptable Use
You agree not to, and not to permit any third party to:
- Use the Service in violation of any applicable law or the terms of any connected marketplace (including Amazon policies).
- Access or attempt to access data belonging to another customer or to reverse-engineer the Service except as permitted by law.
- Introduce malware, attempt to gain unauthorized access, or disrupt the integrity or performance of the Service.
- Use the Service to send unsolicited marketing to buyers or to resell or redistribute marketplace data to third parties.
- Misrepresent your identity or authorization to act on behalf of a seller.
6. Fees & Payment
Fees, billing frequency, and payment terms are set out in the applicable order form or service agreement. Unless stated otherwise, fees are exclusive of taxes, and invoices are payable within the period specified on the invoice. Late payments may result in suspension of the Service after reasonable notice.
7. Intellectual Property
The Service, including all software, models, designs, and documentation, and all related intellectual property rights, are and remain the exclusive property of BatiAI and its licensors. Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable right to use the Service during the term for your internal business purposes. You retain all rights in your Customer Data.
8. Confidentiality
Each party may receive confidential information of the other. The receiving party will use the disclosing party's confidential information only to perform under these Terms and will protect it with at least reasonable care. This section does not apply to information that is public, independently developed, or rightfully obtained from a third party without restriction.
9. Service Availability, Support & Modifications
We strive to keep the Service available and to provide support as described in the applicable agreement, but the Service is provided on an ongoing-improvement basis. We may modify, enhance, or discontinue features from time to time. We will use commercially reasonable efforts to give advance notice of material adverse changes.
10. Disclaimer of Warranties
Except as expressly stated in a signed agreement, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that data from third-party marketplaces will be complete or accurate.
11. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or relating to these Terms. Except for liability that cannot be limited under applicable law, each party's total aggregate liability arising out of or relating to these Terms will not exceed the fees paid or payable by Customer for the Service in the twelve (12) months preceding the event giving rise to the claim.
12. Indemnification
You will defend and indemnify BatiAI against third-party claims arising from your Customer Data or your use of the Service in violation of these Terms or applicable law, except to the extent caused by BatiAI's breach of these Terms.
13. Term & Termination
- These Terms remain in effect for the duration of the applicable order form or service agreement, or until terminated.
- Either party may terminate for material breach that remains uncured 30 days after written notice.
- Upon termination, your right to use the Service ceases; we will handle remaining Customer Data per the retention and deletion schedule in the Privacy Policy or as you direct.
- Sections that by their nature should survive (e.g., confidentiality, IP, liability, governing law) survive termination.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-laws principles. The parties will attempt to resolve disputes in good faith; failing that, the Seoul Central District Court will have exclusive jurisdiction as the court of first instance, unless otherwise required by mandatory law.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified to you (e.g., by email or in-product notice) and posted on this page with an updated Effective Date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
